Terms of Use

These Terms of Use govern access to and use of the websites, hosted services, APIs, software, documentation, dashboards, connectors, data infrastructure tools, support services, and related offerings provided by LaserData, Inc., here after referred as LaserData, including laserdata.com, laserdata.cloud and related subdomains. By accessing or using the Services, creating an account, clicking accept, executing an order form, or otherwise indicating acceptance, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

1. Agreement Structure

These Terms may be supplemented by an order form, online checkout page, statement of work, data processing addendum, security addendum, service-level agreement, support terms, product-specific terms, or other written agreement that references these Terms.

If there is a conflict, the following order of precedence applies unless the applicable document states otherwise: a signed order or enterprise agreement; a data processing or security addendum; product-specific supplemental terms; these Terms; and documentation or policies referenced by these Terms.

2. The Services

LaserData provides enterprise data infrastructure services that may include data ingestion, streaming, routing, transformation, orchestration, storage, query, monitoring, governance, connectors, APIs, and related infrastructure features.

The Services may enable customers to connect databases, warehouses, applications, event streams, object storage, cloud accounts, message queues, observability tools, and other systems.

We may modify, improve, discontinue, or replace features from time to time. We will use reasonable efforts to avoid materially reducing core paid functionality during an active paid subscription term, except where needed for security, legal, operational, third-party provider, or technical reasons.

3. Eligibility and Authority

The Services are intended for business and professional use. You may use the Services only if you are at least 18 years old and legally able to enter into a binding agreement. If you use the Services on behalf of an organization, you are responsible for ensuring that all users under your account comply with these Terms.

4. Accounts, Administrators, and Credentials

You may need to create an account to access the Services. You agree to provide accurate, complete, and current account information and to keep it updated.

We are not responsible for losses caused by your failure to secure credentials, integrations, cloud accounts, source systems, destination systems, user permissions, or customer-controlled configurations.

  • You are responsible for all activity under your account, workspace, API keys, access tokens, credentials, and user accounts.
  • You must maintain the confidentiality and security of passwords, tokens, keys, certificates, and other credentials.
  • You are responsible for configuring user roles, permissions, network access, integrations, retention, encryption options, and other settings appropriately for your data and use case.
  • You must promptly notify [email protected] of any actual or suspected unauthorized access, credential compromise, security incident, or misuse of the Services.

5. Free Tier, Free Trials, and Inactive Free Accounts

LaserData may offer a free tier, free credits, evaluation access, trials, sandbox access, previews, or similar unpaid offerings. We do not require a credit card to create or use the Free Tier. If you upgrade to a paid tier, you will be required to provide payment information or otherwise agree to payment terms.

Free Services may be subject to limits on storage, compute, data volume, retention, API calls, users, projects, connectors, regions, features, support, availability, or duration. We may modify or discontinue Free Services at any time.

For Free Tier accounts, if your account or workspace is inactive for 14 consecutive days, we may suspend, deactivate, delete, or permanently remove the account, workspace, configurations, credentials, projects, logs, and Customer Data associated with the Free Tier account. Inactive means no meaningful use of the Services, such as no login, API call, data ingestion, data processing, query, job execution, connector activity, or other activity that we determine reflects active use.

We may, but are not required to, provide notice before deleting inactive Free Tier accounts. Deletion may be irreversible. You are solely responsible for exporting or backing up Customer Data before inactivity deletion occurs. Unless expressly stated otherwise, Free Services are provided for evaluation, testing, development, and non-production use, as is, as available, and without warranties, indemnities, uptime commitments, service credits, support commitments, or liability beyond the minimum required by law.

6. Beta, Preview, and Experimental Features

We may offer beta, preview, alpha, experimental, early-access, or evaluation features. Beta Features may be incomplete, unstable, unsupported, insecure, unavailable, changed without notice, or discontinued at any time. You should not use Beta Features for production workloads, regulated data, mission-critical systems, or data you cannot afford to lose. Beta Features are provided as is and are excluded from any SLA, warranty, indemnity, or support commitment unless expressly stated in writing.

8. Access Rights and Restrictions

Subject to your compliance with these Terms and payment of applicable fees, LaserData grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the applicable subscription term for your internal business purposes.

  • You may not reverse engineer, decompile, disassemble, copy, modify, or create derivative works of the Services except where law prohibits that restriction.
  • You may not resell, sublicense, rent, lease, time-share, offer service-bureau access to, or provide the Services for the benefit of third parties unless expressly permitted in an order.
  • You may not use the Services to build, train, benchmark, or improve a competing product or service.
  • You may not circumvent usage limits, security controls, access controls, billing systems, or technical restrictions.
  • You may not interfere with or disrupt the Services, networks, infrastructure, or third-party systems.
  • You may not use the Services for spam, malware, phishing, credential harvesting, botnets, denial-of-service attacks, scraping, unauthorized scanning, crypto mining, or other abusive activity.
  • You may not access or use the Services in violation of law, sanctions, export controls, privacy laws, intellectual property rights, or third-party rights.
  • You may not upload or process data that you do not have legal rights to process, and you may not submit Highly Regulated Data unless expressly permitted in a written agreement.

9. Customer Data

Customer Data means data, records, files, streams, events, messages, tables, schemas, metadata, credentials, configurations, queries, outputs, and other content that you or your authorized users submit to, process through, store in, or generate through the Services. As between you and LaserData, you retain all rights, title, and interest in Customer Data. We do not claim ownership of Customer Data.

You grant LaserData a limited, non-exclusive, worldwide, royalty-free license to host, process, transmit, copy, store, display, transform, route, back up, and otherwise handle Customer Data solely as necessary to provide, operate, maintain, secure, support, troubleshoot, and improve the reliability of the Services, comply with your instructions and configurations, comply with law, and enforce these Terms.

LaserData does not read, sell, rent, trade, monetize, or use Customer Data for advertising or unrelated business purposes. We do not use Customer Data to train, fine-tune, or improve artificial intelligence or machine learning models for the benefit of LaserData or third parties unless you expressly agree in writing.

We do not access Customer Data except in limited circumstances: to provide, maintain, secure, or troubleshoot the Services; at your request or with your authorization; through automated systems necessary for routing, indexing, processing, monitoring, encryption, reliability, abuse detection, or security; to investigate security incidents, abuse, legal compliance, or violations of these Terms; or as required by law or valid legal process. Any human access to Customer Data, when necessary, is limited to authorized personnel or contractors subject to confidentiality obligations and access controls.

You are solely responsible for the accuracy, quality, legality, integrity, and availability of Customer Data; obtaining all rights, consents, permissions, notices, and legal bases; configuring retention, regions, encryption, access control, data masking, networking, backups, and other settings; maintaining independent backups and exports; responding to data subject requests; and ensuring Customer Data does not violate these Terms or applicable law.

10. Highly Regulated Data

Unless expressly authorized in a written agreement with LaserData, you may not use the Services to process protected health information subject to HIPAA, payment card data or cardholder data subject to PCI DSS except payment information submitted directly to our payment processor for LaserData billing, classified information, ITAR-controlled data, export-controlled technical data, government-restricted information, children's personal information, biometric identifiers, genetic data, precise geolocation data, or data requiring special handling under financial, telecommunications, healthcare, education, government, or critical infrastructure laws. If you believe you need to process Highly Regulated Data, contact us before doing so.

11. Security

LaserData takes security and privacy seriously. We will maintain commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Data under our control against unauthorized access, loss, misuse, alteration, and disclosure. Security measures may include access controls, encryption in transit and at rest, network controls, monitoring, logging, vulnerability management, incident response, employee confidentiality commitments, and vendor risk management, depending on the Services and plan.

No system is perfectly secure. We do not guarantee that unauthorized third parties will never defeat our safeguards. You are responsible for securely configuring your use of the Services, including credentials, access permissions, source and destination systems, integrations, cloud accounts, VPNs, firewalls, allowlists, identity providers, and user devices.

12. Security Incidents

If we become aware of a security incident involving unauthorized access to Customer Data under our control, we will notify you without undue delay and as required by applicable law or the applicable data processing addendum. Notice may be provided by email, in-product notice, or other reasonable means. Our notice of a security incident is not an admission of fault, liability, or violation of law.

13. Data Processing Addendum

If Customer Data includes personal data that LaserData processes on your behalf, the LaserData Data Processing Addendum or otherwise executed by the parties applies and is incorporated into these Terms. For Customer Data, you are the controller or business, and LaserData acts as processor, service provider, or equivalent role, unless otherwise stated in a written agreement.

14. Data Export and Deletion

During your subscription term, you may export Customer Data using available Service functionality. After termination, expiration, cancellation, or Free Tier inactivity deletion, we may delete Customer Data, workspaces, credentials, logs, configurations, and account resources. Deletion from backups, disaster recovery systems, logs, archives, and security records may occur on a delayed schedule according to our retention practices. We may retain account, billing, security, legal, and operational records as needed to comply with law, resolve disputes, enforce agreements, prevent abuse, maintain security, and operate our business.

15. Operational Data and Aggregated Data

Operational Data means data about the use, performance, configuration, security, reliability, and operation of the Services, such as usage volumes, API calls, feature usage, resource consumption, latency, error rates, logs, diagnostic data, account identifiers, billing metrics, and system telemetry. LaserData may collect and use Operational Data to provide, secure, monitor, support, improve, and bill for the Services, plan capacity, prevent abuse, troubleshoot issues, and develop new features. We may also use aggregated or de-identified data that does not identify you, your users, or Customer Data for analytics, benchmarking, reporting, product improvement, and business purposes.

16. Support, Maintenance, and Availability

Support, maintenance, uptime commitments, service credits, response times, and escalation paths apply only if stated in an applicable paid plan, order, support policy, or SLA. Free Services and Beta Features do not include any uptime, support, maintenance, or service credit commitment unless we expressly state otherwise in writing. We may perform planned or emergency maintenance and may suspend or limit access when necessary for security, reliability, legal compliance, abuse prevention, or operational reasons.

17. Third-Party Services and Integrations

The Services may interoperate with third-party services, cloud providers, databases, warehouses, applications, identity providers, payment processors, data sources, destinations, connectors, marketplaces, APIs, or software. You are responsible for obtaining and maintaining rights to use Third-Party Services, complying with third-party terms, paying third-party fees and cloud infrastructure charges, securing third-party credentials and accounts, and understanding how third-party systems process and store data. LaserData is not responsible for Third-Party Services, including their availability, security, privacy practices, data handling, performance, errors, fees, downtime, or changes.

18. Intellectual Property and Feedback

LaserData and its licensors own all rights, title, and interest in and to the Services, software, APIs, documentation, interfaces, designs, technology, algorithms, workflows, models, templates, know-how, and related intellectual property. Except for the limited access rights expressly granted in these Terms, no rights are transferred to you.

You may provide feedback, suggestions, ideas, feature requests, or recommendations. You grant LaserData a perpetual, irrevocable, worldwide, royalty-free right to use Feedback without restriction or compensation. We will not publicly identify you as the source of Feedback without your consent.

19. Open Source Software

The Services may include or interoperate with open-source software. Open-source software is licensed under its own license terms. Nothing in these Terms limits your rights under applicable open-source licenses.

20. Confidentiality

Each party may receive non-public business, technical, financial, product, security, or other information from the other party that should reasonably be understood to be confidential. Customer Data is your Confidential Information. Non-public information about the Services, pricing, security, roadmaps, and performance is LaserData Confidential Information.

The receiving party will use Confidential Information only to perform under these Terms, protect it using reasonable care, not disclose it except to personnel, affiliates, contractors, advisors, and service providers who need to know and are bound by confidentiality obligations, and return or destroy it upon request except where retention is required by law or standard backup practices. Confidentiality obligations do not apply to information that is public without breach, independently developed without use of Confidential Information, lawfully received from a third party without confidentiality obligations, or approved for disclosure in writing.

21. Privacy

Our Privacy Policy explains how we collect, use, and disclose personal information. By using the Services, you acknowledge our Privacy Policy. The Privacy Policy does not limit Customer Data obligations governed by these Terms, an order, or the data processing addendum.

22. Suspension and Termination

We may suspend or limit access to the Services immediately if we reasonably believe you breached these Terms, your use creates security, legal, operational, or reputational risk, your use may harm LaserData or others, your account is subject to fraud or unauthorized access, you fail to pay amounts when due, suspension is required by law or a third-party provider, or you exceed usage limits or attempt to evade restrictions. We will use reasonable efforts to limit suspension to the affected account, workspace, feature, or data where practical.

You may stop using the Services at any time. We may terminate these Terms or your access to the Services if you materially breach these Terms and fail to cure within 10 days after notice where cure is possible, fail to pay amounts due, pose a security, legal, or operational risk, we discontinue the Services, you become insolvent or cease business operations, or termination is required by law or a third-party provider. Upon termination, your right to access the Services ends, and you must stop using the Services and pay all amounts owed.

23. Warranties and Disclaimers

The Services are provided as is and as available except as expressly stated in a written order. To the maximum extent permitted by law, LaserData disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, availability, security, and error-free operation.

We do not warrant that the Services will be uninterrupted, error-free, secure, or available at all times; that Customer Data will never be lost or corrupted; that the Services will meet your requirements or produce particular results; that defects will be corrected; that the Services will comply with laws applicable specifically to your business or Customer Data; or that Third-Party Services will be available or secure. You are responsible for evaluating whether the Services are suitable for your intended use.

24. Indemnification

You will defend, indemnify, and hold harmless LaserData, its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to Customer Data, your use of the Services in violation of these Terms or law, your integrations or configurations, your failure to obtain required rights or consents, Highly Regulated Data submitted without authorization, your users' acts or omissions, and your breach of confidentiality, privacy, security, export, or acceptable use obligations.

For paid Services only, unless excluded by an order, LaserData will defend you against a third-party claim alleging that the Services, as provided by LaserData and used in accordance with these Terms, directly infringe that third party's intellectual property rights. This obligation does not apply to claims arising from Customer Data, your configurations, modifications not made by LaserData, combination with products or services not provided by LaserData, Third-Party Services, open-source software, Free Services, Beta Features, or use outside the scope of these Terms or documentation.

25. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for lost profits, lost revenue, lost business, lost goodwill, lost data, business interruption, replacement services, or loss of anticipated savings, even if advised of the possibility of such damages.

To the maximum extent permitted by law, LaserData's total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of the amounts paid by you to LaserData for the Services giving rise to the claim during the 12 months before the first event giving rise to liability, or USD $100 for Free Services. The limitations apply regardless of legal theory. They do not apply to liability that cannot be limited by law, your payment obligations, your misuse of LaserData intellectual property, or your indemnification obligations.

26. Changes to Terms and Services

We may update these Terms from time to time. We will post the updated Terms on our website and update the Last Updated date. For material changes affecting paid Services, we will provide reasonable notice where practical. Changes become effective when posted unless a later effective date is stated. Your continued use after changes become effective constitutes acceptance.

We may add, modify, suspend, discontinue, or replace Services or features. For paid Services, we will use reasonable efforts not to materially reduce core functionality during the current subscription term, unless necessary for security, legal compliance, third-party provider changes, product integrity, or operational reasons.

27. Export Controls, Sanctions, and Government Use

You must comply with all applicable export control, sanctions, anti-boycott, and trade compliance laws. You may not access or use the Services in embargoed countries or regions, by prohibited parties, or for prohibited end uses. You represent that you and your users are not listed on any restricted party list and are not owned or controlled by a restricted party. The Services are commercial products and, if acquired by or on behalf of the U.S. Government, are provided with only the rights granted to commercial users unless a written government contract states otherwise.

28. Professional Services and Publicity

Any implementation, advisory, migration, training, support, or professional services are provided only if stated in a written order or statement of work. Unless otherwise agreed, professional services are provided on a commercially reasonable efforts basis and do not guarantee any particular business, technical, security, or compliance outcome. LaserData will not use your name or logo in public marketing materials without your prior consent, unless an order permits it. You may not use LaserData's name, logo, or trademarks without our prior written consent.

LaserData is a registered, pending trademark. Apache Iggy and associated open source project names are trademarks of the Apache Software Foundation.

29. Notices, Governing Law, and Venue

We may provide notices by email, in-product message, account notification, posting on our website, or other reasonable means. Legal notices to LaserData must be sent to [email protected]. Billing notices may be sent to [email protected]. Security notices may be sent to [email protected]. Privacy notices may be sent to [email protected].

These Terms are governed by the laws of the State of California, excluding conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in San Francisco, California. Each party waives the right to a jury trial to the maximum extent permitted by law.
